Administrative Agent*

As the Administrative Agent, we sit between a project company borrower and its lender group, controlling the flow of funds and information. Wilmington Trust offers a full-service outsourcing solution for lenders who are unable to perform this role themselves or would prefer to have an independent party in that position.
In this role, we track, collect, and disseminate required reports and assist with consents, waivers, and amendments.

Collateral Agent

We hold and manage physical and non-physical collateral on behalf of the lenders in your Project Finance transaction, helping to ensure that a perfected first security interest is maintained over the life of the deal.

Depository Agent

We open and maintain project accounts, including construction proceeds accounts, revenue accounts, and reserve accounts. We run the cashflow waterfall, ensuring all payments are made promptly in accordance with the terms of the deal.

Intercreditor Agent

We manage the relationships among all lender groups and their respective collateral packages in the Project Finance deal, ensuring that lenders and investors work together effectively and any issues are resolved in a timely manner.

Noteholder Representative

In this role we represent the interests of the noteholders in a Project Finance transaction. This includes tracking, collecting, disseminating, and warehousing deal documents, notices, and required reports, as well as coordinating consent, waiver, and amendment requests and collecting and tabulating votes.

Paying Agent

As Paying Agent, we collect and distribute funds, ensuring that noteholders are paid principal and interest on time and in the right amount. We also set interest rates and perform rollovers for floating-rate transactions.

Trustee

A Trustee is responsible for monitoring the governing bond documents (Bond Indentures, Loan and Lease Agreements) to ensure the bond issuer complies with all the various requirements - including covenant compliance, such as periodic reporting requirements.

Escrow Agent

We act as a neutral intermediary among key parties to your transaction, holding funds and ensuring that they are released only when agreed-upon conditions have been met.
